Terms of Service - VF Smart Trade LLC

Welcome to VF Smart Trade LLC ("we", "us", "our"), a limited liability company (LLC) organized under the laws of the United States. These Terms of Service (the "Terms") govern your access to and use of our Shopify online store (the "Store"), including all products, services, content, features, and functionality made available through the Store. By accessing or using the Store, creating an account, or making a purchase, you ("you", "your") agree to be bound by these Terms, our Privacy Policy, and any other policies or guidelines we post on the Store from time to time. If you do not agree to these Terms, you may not access or use the Store.

1. Definitions

For the purposes of these Terms, the following definitions shall apply:

Account: A user account created by you to access certain features of the Store, including placing orders, tracking shipments, and managing returns.
Content: All text, images, graphics, logos, videos, audio, data, software, and other materials displayed on or made available through the Store, including product descriptions, pricing, and promotional content.
Products: All goods offered for sale on the Store by VF Smart Trade LLC.
Services: All services provided by us in connection with the Store, including order processing, shipping, customer support, and returns/refunds (as outlined in our Return and Refund Policy).
User Conduct: Your actions while accessing or using the Store, including but not limited to browsing, purchasing, posting reviews, and communicating with customer support.

2. Eligibility and Account Creation

To access certain features of the Store, you may be required to create an Account. By creating an Account, you represent and warrant that:

You are at least 18 years of age (or the legal age of majority in your jurisdiction) and have the legal capacity to enter into these Terms.
All information you provide to create your Account (including name, email address, shipping address, and payment details) is accurate, current, and complete.
You will maintain the confidentiality of your Account credentials (username, password) and will be solely responsible for all activities conducted under your Account.
You will notify us immediately if you suspect any unauthorized use of your Account or any breach of security.

We reserve the right to suspend or terminate your Account at any time, without prior notice, if we believe you have violated these Terms or provided false or misleading information.

3. Use of the Store and Services

3.1 Permitted Use

You may use the Store and Services only for lawful purposes and in accordance with these Terms. You agree to:

Use the Store and Services in compliance with all applicable U.S. federal, state, and local laws, as well as international laws and regulations.
Respect the intellectual property rights of VF Smart Trade LLC and third parties (see Section 7 below).
Provide accurate and complete information when placing orders or contacting customer support.
Use the Store and Services in a manner that does not harm, disrupt, or interfere with the Store’s functionality, servers, or other users.

3.2 Prohibited Use

You are prohibited from engaging in any of the following activities:

Using the Store or Services for any illegal, fraudulent, or unauthorized purpose, including but not limited to placing fake orders, stealing payment information, or distributing harmful content.
Attempting to access, modify, or disable any part of the Store, including servers, databases, or software, through hacking, brute-force attacks, or other unauthorized means.
Using automated tools (bots, scrapers, etc.) to access, scrape, or collect data from the Store without our prior written permission.
Posting or transmitting any harmful, offensive, discriminatory, or inappropriate content, including but not limited to hate speech, harassment, or malware.
Impersonating VF Smart Trade LLC, our employees, or other users, or misrepresenting your affiliation with any entity.
Reselling, renting, or licensing any Products or Services purchased from the Store without our prior written permission.

4. Product Orders and Payments

4.1 Order Placement

When you place an order on the Store, you are making a binding offer to purchase the Products specified in your order. We reserve the right to accept or reject your order for any reason, including but not limited to: product unavailability, pricing errors, suspicious activity, or incomplete order information.

Upon accepting your order, we will send you a confirmation email with details of your order (order number, Products, total amount, shipping address). This confirmation does not constitute a contract until we have processed and shipped your order.

4.2 Pricing and Payment

All prices displayed on the Store are in U.S. Dollars (USD) and include applicable taxes, unless otherwise stated. We reserve the right to change prices at any time without prior notice, but changes will not affect orders that have already been confirmed.

You agree to pay the total amount specified in your order confirmation, including any shipping fees and taxes. We accept major credit cards (Visa, Mastercard, American Express), PayPal, and other payment methods as displayed on the Store. By providing your payment information, you represent and warrant that you are authorized to use the payment method and that the information is accurate.

We may use third-party payment processors (e.g., Shopify Payments, Stripe) to process payments. These processors have their own terms of service, and we are not responsible for their actions or omissions.

4.3 Order Cancellations and Modifications

You may request to cancel or modify your order only if it has not yet been shipped. To cancel or modify an order, please contact our customer support team at support@vfsmarttradellc.com immediately. Once an order has been shipped, you will need to follow our Return and Refund Policy to request a return or exchange.

5. Shipping and Delivery

We ship Products to locations within the United States and select international destinations (as specified on the Store). Shipping times and fees vary based on the shipping method selected and the destination. We will provide an estimated delivery date in your order confirmation, but we do not guarantee delivery dates, as shipping delays may occur due to carrier issues, weather, or other unforeseen circumstances.

You are responsible for providing an accurate shipping address. We are not liable for lost, stolen, or damaged packages due to an incorrect address provided by you. Once a package is delivered (as confirmed by the shipping carrier), responsibility for the package passes to you.

6. Returns and Refunds

Our Return and Refund Policy governs all returns, exchanges, and refunds for Products purchased from the Store. By making a purchase, you agree to comply with the terms of our Return and Refund Policy, which is incorporated into these Terms by reference. You can access our Return and Refund Policy at any time on the Store.

7. Intellectual Property Rights

All Content, logos, trademarks, service marks, and other intellectual property displayed on or made available through the Store are the property of VF Smart Trade LLC or our licensors. You may not copy, reproduce, distribute, modify, or use any of this intellectual property without our prior written permission.

By posting reviews, comments, or other user-generated content on the Store, you grant us a non-exclusive, royalty-free, perpetual, and worldwide license to use, reproduce, modify, and display such content for any purpose related to the operation of the Store, without additional compensation to you.

8. Limitation of Liability

To the fullest extent permitted by applicable law, VF Smart Trade LLC shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Store, Products, or Services. This includes, but is not limited to, damages for lost profits, lost data, or damage to your device.

Our total liability to you for any claim arising out of these Terms shall not exceed the total amount you paid for the Products or Services giving rise to the claim. We shall not be liable for any damages caused by delays in shipping, product defects, or third-party actions (e.g., payment processors, shipping carriers).

Nothing in these Terms shall limit our liability for gross negligence, willful misconduct, fraud, or any other liability that cannot be limited under applicable law.

9. Indemnification

You agree to indemnify, defend, and hold harmless VF Smart Trade LLC, its owners, employees, agents, and licensors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney’s fees) arising out of or in connection with: (a) your use of the Store, Products, or Services; (b) your violation of these Terms; (c) your violation of any applicable laws or regulations; (d) your Account activities; or (e) your infringement of any intellectual property right of VF Smart Trade LLC or a third party.

10. Privacy Policy

We collect, use, and disclose your personal information in accordance with our Privacy Policy. By using the Store or creating an Account, you consent to our collection and use of your personal information as outlined in the Privacy Policy. Our Privacy Policy is incorporated into these Terms by reference and can be accessed on the Store.

11. Third-Party Links and Services

The Store may contain links to third-party websites, services, or products. These links are provided for your convenience only, and we do not endorse or control these third parties. We are not responsible for the content, privacy policies, or practices of any third-party websites or services. Your use of third-party links or services is at your own risk.

12. Term and Termination

These Terms shall remain in effect until terminated by either party. We may terminate these Terms or suspend your access to the Store at any time, without prior notice, if you violate these Terms or engage in any prohibited activity. Upon termination, your right to access and use the Store, Products, and Services shall immediately cease.

You may terminate these Terms at any time by closing your Account and discontinuing use of the Store. Termination of these Terms shall not affect any rights or obligations that accrued prior to termination, including but not limited to payment obligations, return policies, and intellectual property rights.

13. Changes to These Terms

VF Smart Trade LLC reserves the right to modify or update these Terms at any time. Any changes will be effective immediately upon posting the updated Terms on the Store. We will notify you of significant changes via email (if you have an Account) or by posting a notice on the Store’s homepage. Your continued use of the Store after the changes are posted constitutes your acceptance of the updated Terms.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of [Insert State, e.g., Delaware or your LLC’s state of formation], without regard to its conflict of laws principles. Any dispute arising out of or in connection with these Terms shall be resolved through good-faith negotiation between you and VF Smart Trade LLC. The prevailing party shall be entitled to recover reasonable attorney’s fees and costs.

15. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy and Return and Refund Policy, constitute the entire agreement between you and VF Smart Trade LLC regarding your use of the Store, Products, and Services, and supersede all prior or contemporaneous agreements, communications, and understandings.
Severability: If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
Assignment: You may not assign these Terms or any of your rights or obligations under these Terms without our prior written permission. We may assign these Terms to any third party without your consent.
